SFC tightens IPO tools to curb misconduct, boost investor protection

The Securities and Futures Commission (SFC) has published a consultation conclusion to strengthen targeted tools under the Securities Markets Listing Rules, aiming to address initial public offering (IPO) cases and post-listing matters while improving the efficiency of Hong Kong's listing market regulation and investor protection.

The regulator said it would implement the proposals after making certain clarifications and minor modifications in response to respondents' views. The SFC expects the amended Securities Markets Listing Rules and related revisions to take effect in the first quarter of next year, subject to the progress of legislative procedures.

The amendments will allow the SFC to impose conditions on listing applicants that can continue to apply after listing, and to impose post-listing conditions on listed issuers as an alternative to an immediate suspension of trading. The changes will also simplify procedures for resuming trading.

A new mechanism will be introduced under which the Securities and Futures Appeals Tribunal will conduct independent reviews of SFC decisions made under the Securities Markets Listing Rules, including those relating to the imposition of conditions, suspensions and resumptions of trading, to strengthen procedural fairness and enhance transparency.

Choy Fung-yi, the SFC's executive director of corporate finance, said the market broadly supported the proposed enhancements, reflecting a collective commitment to maintaining a high-quality and resilient listing market in Hong Kong. She said the measures would provide the SFC with more targeted and proportionate tools to address emerging risks before they cause damage to the local market.

The SFC will arrange for the amended Securities Markets Listing Rules and related revisions to be published in the gazette, and will submit them to the Legislative Council for the tabling of subsidiary legislation in the near future.
