The Standing Committee on Company Law Reform has published its annual report for the 2025-26 year, covering its work on key legislative proposals and briefings for its members.
During the reporting period, the government consulted the committee on a legislative proposal to remove the exemption for mixed-media offers. The government also held briefings for committee members on the scripless securities market regime and the company re-domiciliation regime, to help deepen their understanding of the relevant details and latest developments.
A government spokesman said: “Over the years, the standing committee has been an important partner in driving company law forward with the times. We sincerely thank the committee for its valuable advice during the reporting period, and look forward to continuing our collaboration to further consolidate Hong Kong’s status as an international commercial and financial centre.”
The committee was established in 1984. Its function is to advise the Financial Secretary on amendments to the Companies Ordinance and the Companies (Winding Up and Miscellaneous Provisions) Ordinance, as well as amendments to the Securities and Futures Ordinance concerning corporate governance and shareholder protection, as needed.
The committee is chaired by Senior Counsel Mok Shu-lien. Its members include practitioners from the legal, accounting and company secretarial fields, academics, individuals from the business community, and representatives from relevant government departments and financial regulatory bodies.
The Standing Committee on Company Law Reform’s 2025-26 annual report has been uploaded to the Companies Registry website (www.cr.gov.hk) for public inspection.
